Terms of Service — SN Scribe

These Terms of Service ("Terms") govern your access to and use of SN Scribe ("Service", "Platform"), an AI-powered meeting intelligence platform operated by SN Horizon ("Company", "we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

SN Scribe is an AI-powered meeting minutes, transcription, and summarization platform. The Service provides:

Audio recording and upload capabilities for meetings
Automated speech-to-text transcription using AI providers (including Deepgram and OpenAI Whisper)
AI-generated meeting summaries, key points, action items, and decisions using large language models (including GPT-4o and Claude)
Task extraction and follow-up management
Searchable meeting library with semantic search
Calendar integration with Microsoft 365
Data export in multiple formats

2. User Accounts & Responsibilities

2.1 Account Registration

To use the Service, you must create an account by providing accurate and complete information. You may also sign in using Microsoft Azure AD Single Sign-On (SSO) if enabled by your organization.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

2.3 Organization Accounts

SN Scribe operates on a multi-tenant model. Account administrators ("Owners" and "Admins") may invite team members, manage settings, and configure AI providers for their organization. By inviting users, you represent that you have the authority to bind them to these Terms.

3. Acceptable Use Policy

You agree not to:

Use the Service in violation of any applicable law or regulation
Record or transcribe conversations without the knowledge and consent of all participants, where required by law
Upload content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
Attempt to gain unauthorized access to the Service, other accounts, or related systems
Interfere with or disrupt the Service or its infrastructure
Use the Service to develop competing products or services
Reverse-engineer, decompile, or disassemble any part of the Service
Exceed your organization's usage limits (monthly hours, daily meetings, storage) as configured by the platform
Share API keys or credentials with unauthorized third parties

4. Data Processing & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your data. By using the Service, you acknowledge that:

Audio recordings and transcripts are processed by third-party AI providers (OpenAI, Anthropic, Deepgram) solely for the purpose of providing the Service
Meeting data is stored in encrypted PostgreSQL databases hosted on AWS infrastructure
Audio files are stored in AWS S3 and are automatically deleted after 30 days
API keys for AI providers are encrypted using AES-256-GCM encryption

5. Intellectual Property

5.1 Your Content

You retain all ownership rights to the content you upload, record, or create using the Service, including meeting recordings, transcripts, and any associated data ("Your Content"). You grant SN Horizon a limited, non-exclusive license to process Your Content solely for the purpose of providing and improving the Service.

5.2 Our Platform

The Service, including its software, design, features, documentation, and all related intellectual property, is owned by SN Horizon and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

5.3 AI-Generated Content

Summaries, action items, decisions, and other outputs generated by AI models based on Your Content are considered part of Your Content and belong to you. SN Horizon does not claim ownership of AI-generated outputs.

6. Service Availability & SLA

We use commercially reasonable efforts to make the Service available 24/7. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

Scheduled maintenance (we will provide reasonable advance notice when possible)
Emergency maintenance or security updates
Third-party service outages (AI providers, cloud infrastructure, SSO providers)
Force majeure events

We are not liable for any damages arising from Service unavailability or interruptions.

7. Usage Limits

The Service may impose usage limits based on your organization's plan, including but not limited to monthly transcription hours, daily meeting caps, member limits, and storage quotas. Exceeding these limits may result in temporary restrictions on Service access until the next billing period or until limits are adjusted.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SN HORIZON AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SN HORIZON IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICE PROVIDES AI-GENERATED CONTENT FOR INFORMATIONAL PURPOSES. AI OUTPUTS MAY CONTAIN ERRORS OR INACCURACIES. YOU ARE RESPONSIBLE FOR REVIEWING AND VERIFYING ALL AI-GENERATED SUMMARIES, TRANSCRIPTIONS, AND ACTION ITEMS BEFORE RELYING ON THEM FOR BUSINESS DECISIONS.

9. Indemnification

You agree to indemnify and hold harmless SN Horizon from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party (including recording consent laws).

10. Termination

10.1 By You

You may stop using the Service at any time. Organization administrators may request account deletion by contacting us. Upon termination, your data will be handled in accordance with our Privacy Policy.

10.2 By Us

We may suspend or terminate your access to the Service at any time if you violate these Terms, engage in activity that could harm the Service or other users, or if required by law. We will make reasonable efforts to provide notice before termination, except where immediate action is necessary.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may retain Your Content for a reasonable period to allow you to export your data, after which it will be deleted in accordance with our data retention policies.

11. Modifications to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through a notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which SN Horizon is incorporated, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law. Nothing in these Terms prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

13. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and SN Horizon regarding the Service.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
